# Who Owns Your Marketing When You Leave Your Provider?

You are about to sign with a new marketing provider. The demo went well. The pilot looks promising. One question rarely gets asked until it is too late: if we leave in eighteen months, what do we walk away with?

This post gives growth-stage B2B technology leaders a four-layer ownership test. It works for an agency, a software tool or a Services as Software provider. It is a buying checklist, not legal advice, so take your final wording to your own counsel.

**Key Insights**

- Ownership is four separate questions, not one: assets, knowledge, access and continuity.
- A signed contract can cover the first layer and say nothing about the second.
- Knowledge is the layer that compounds, so it is the layer that hurts most to lose.
- A focused first use case lets you test ownership terms before a long commitment.
- Ask every provider, including us, to answer in writing.

## Why the ownership question matters more than the price

Most provider comparisons start with cost and capability. Ownership comes last, usually in the contract's final pages. That order is backwards for a leader whose knowledge is already scattered across people, decks and agencies.

### Scattered knowledge makes exit harder

When positioning, personas and proof live in several places, no one can say what a provider holds on your behalf. Leaving then means rebuilding context, not just switching supplier. That is the Coordination Tax paid a second time.

### The question changes by seat at the table

A founder asks about board risk and exit clauses. A head of marketing asks whether the playbooks survive a handover. Both are asking the same thing in different words: who can take this with them?

**Key Takeaway:** Ask about ownership before you ask about price, because exit cost is part of the real price.

## The four ownership layers to establish

Ownership is not one right. It is four layers, and a provider can be generous on one and silent on another.

### Layer 1: Content and assets

This covers every blog, email, page, deck and image produced for you. Ask who holds the rights, in what formats you can take them, and whether anything produced for you is reused elsewhere. Get the answer in the contract, not in a sales call.

### Layer 2: Customer and product knowledge

This is the positioning, personas, proof points and terminology a provider learns about your business. It is the layer that compounds. A provider that keeps it in a form only they can read has made switching expensive by design or by accident.

### Layer 3: Accounts and platform access

Who is the named owner of your analytics, ad accounts, CMS, social profiles and CRM integrations? The safe pattern is that your organisation owns the account and the provider is a guest with removable access.

### Layer 4: Continuity if the provider changes

This is the practical layer. How long is the handover window? What is handed over, in what format, and who does the work? A right to your data is of little use if no one can hand it over in a usable form.

**Key Takeaway:** Treat assets, knowledge, access and continuity as four separate lines in every provider conversation.

## How the three provider models compare on ownership

The model you buy changes which layer is most at risk. This table is a thinking aid, not a ranking.

| Ownership layer | Agency contract | Software tool | Services as Software |
| --- | --- | --- | --- |
| Content and assets | Often a contract term to check | Usually your own outputs | A contract term to check |
| Customer and product knowledge | Often held in people and files | Often limited to what you store | The central question to ask |
| Accounts and access | Varies by account set up | Tied to your login | Ask who is the named owner |
| Continuity on exit | Depends on the people involved | Export features vary | Ask for a written handover process |

The pattern is useful. Agencies tend to hold knowledge in people. Tools tend to hold it in settings. Services as Software, where expert marketing capability is delivered through software rather than agency hours or seat access, makes the knowledge layer the main event, because continuous capability depends on it.

### Where Services as Software changes the question

In this model you buy continuous capability and outcomes, not seats or billable time. The Marketing Brain compounds as it runs, so what accumulates inside it is the asset that matters most. That makes knowledge continuity the question to press hardest.

### What we are not claiming here

This post does not set out AMP's export, exit or data-ownership terms. Put the same questions to us that you would put to anyone, and ask for the answers in writing.

**Key Takeaway:** The more a provider's value compounds, the more carefully you should check who owns what has compounded.

## A checklist for the buying conversation

Take these questions into your next provider call. Record the answers and share them with whoever signs off the budget.

### Questions on assets and knowledge

1. Who owns the rights to everything produced for us, and where is that written?
2. In what format can we take our content with us?
3. Is the knowledge you build about our business stored in a form we can read and reuse?
4. Is any of it used for other customers?

### Questions on access and continuity

1. Which accounts will be in our organisation's name from day one?
2. Can we remove your access at any time without losing history?
3. What is the handover process if we leave, and how long does it take?
4. Who does the handover work, and is it included or charged?

### Questions on commitment

1. Can we start with one priority use case and test these answers before a long commitment?
2. Which decisions and approvals stay with our people?

Human control of direction, approvals and sign-off is a sensible test of any provider. If you cannot name who approves what, you cannot name who owns what.

**Key Takeaway:** Ten questions, answered in writing, tell you more than any demo.

## Start with a focused test, not a leap

A narrow first use case is the best protection you have. It lets you see how a provider handles your assets, your knowledge and your accounts while the stakes are small.

### Run the ownership test inside the pilot

Ask for a sample handover during the pilot. If a provider can hand over a small body of work cleanly, that is evidence. If they cannot, you have learned it cheaply.

### Match the test to your role

Founders should ask what the board would need to see if the provider changed. Heads of marketing should ask whether a new hire could pick up the playbooks in a week. Different tests, one principle.

**Key Takeaway:** Test ownership during the pilot, while leaving is still easy.

## Make the decision with the answers in hand

The best time to learn who owns your marketing is before you sign. Use the four layers, collect the written answers and compare providers on ownership as well as price. If you would like to run this checklist against AMP, book a demo and bring the questions with you.

## FAQ

### Who owns marketing content produced by an AI marketing provider?

That depends entirely on the contract. Check the rights clause, the formats you can take and whether outputs are reused elsewhere. Do not rely on a sales conversation.

### What is the difference between owning content and owning knowledge?

Content is the finished output, such as a blog or email. Knowledge is the positioning, personas and proof a provider learns about your business. You can own the first and still lose access to the second.

### How do I reduce lock-in with a marketing provider?

Start with one priority use case, keep accounts in your organisation's name and ask for a written handover process. Test a sample handover during the pilot.

### Does Services as Software change who owns my marketing?

It shifts the focus to knowledge continuity, because capability compounds inside the system. The ownership terms still sit in the contract, so ask for them in writing.

### Is this checklist legal advice?

No. It is a set of buying questions. Take final contract wording to your own legal counsel.
